1. Nature of the Service
TrustPlugAI acts strictly as a technology infrastructure intermediary. We provide automated chat systems and virtual tools via WhatsApp to coordinate, track, and secure social commerce transactions between independent Buyers and Sellers in Nigeria.
- No Financial Holding: TrustPlugAI is not a licensed bank or a direct financial institution. We do not directly receive, hold, or possess your funds. All monetary values are processed and securely held in regulated merchant subaccounts managed by our licensed payment gateway partners (Paystack).
- No Endorsement: We are not a party to the contract of sale between the Buyer and Seller and do not guarantee the quality, safety, or legality of the items advertised or delivered.
2. Escrow Pipeline and Transaction Logic
By initiating a transaction on TrustPlugAI, both the Buyer and Seller agree to the platform's automated escrow milestones:
- Transaction Initialization: A distinct transaction reference code (e.g., EC001) will be assigned to track each contract pipeline.
- Pay-In: The Buyer securely transfers the agreed-upon item price plus any applicable service fees through our designated payment gateway integrations. Funds are locked until fulfillment conditions are met.
- Fulfillment & Dispatch: The Seller must dispatch the exact item described (matching details like model, color, and specifications provided during setup) within the specified timeline.
- Verification & Payout: Funds will only be released to the Seller's verified bank account after the Buyer explicitly confirms receipt and satisfaction via the WhatsApp interface, or upon expiration of the predefined inspection window without an open dispute.
3. Obligations of the Parties
A. For Buyers
- You agree to provide accurate delivery addresses, contact information, and specific product details during initialization.
- You agree to inspect the delivered item immediately upon arrival and provide prompt confirmation or flag a dispute through the platform if the item does not match the agreed description.
B. For Sellers
- You must provide a valid registered business name or full name, along with accurate bank settlement details (Bank Name, Account Name, Account Number).
- You are required to submit genuine proof of dispatch (such as logistics partner dispatch slips or photos) when requested by the platform.
- You warrant that all items provided are genuine, legal, and exactly as described to the Buyer.
4. Prohibited Activities
Users explicitly agree not to utilize TrustPlugAI for:
- Fraudulent schemes, fake bank alerts, or payment manipulation.
- The sale or purchase of illegal goods, weapons, unregulated substances, or counterfeit items under Nigerian law.
- Attempting to bypass the automated escrow logic or collude with counterparties to manipulate the dispute mechanism.
5. Dispute Resolution and Moderation
In the event of a disagreement between a Buyer and a Seller (e.g., non-delivery, wrong item delivered, or damage):
- Either party can trigger a transaction dispute through the WhatsApp chat bot or customer support channels.
- TrustPlugAI's automated systems and virtual assistants will review submitted evidence, including chat transcripts, transaction logs, and dispatch proofs.
- TrustPlugAI reserves the right to make a final determination based on the factual timeline and evidence provided, and direct the payment gateway partner to either process a refund to the Buyer or execute a payout to the Seller.
6. Limitation of Liability
To the maximum extent permitted by applicable Nigerian laws, TrustPlugAI, its developers, and operators shall not be held liable for any direct, indirect, incidental, or consequential damages arising from:
- Technical failures or downtime of third-party platforms (e.g., WhatsApp Business API, Paystack, Flutterwave).
- Delays or failures caused by independent dispatch riders, couriers, or logistics personnel.
- Misrepresentations, scams, or poor item quality originating from the Seller.
7. Governing Law
These Terms shall be governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria.
8. Amendments
We reserve the right to update or modify these Terms at any time to reflect changing technical workflows, regulatory requirements, or platform updates. Continued usage of the platform after updates are posted constitutes explicit acceptance of the revised Terms.
